Care of Trees / Davey?

sorry Norm. Dont know why I jumped to the defensive. must be cabin feaver I guess, winter is lasting a little to long. On a good note I started working for a small outfit down state. Not much though, it'll pick up soon. It's to dam slow in the winter around here in todays econnomey........

exactly my saddle is modified so by company rules i cant have it on thier job site so i dont climb for them unless its an AR situation then i'd climb for anybody but yes i work fo them but not climbing
 
I was wondering how long it was going to take for a thread about this to show up on the web. It took longer than I thought it might.

I try to keep a positive attitude, but the fact remains, I am sure that if Davey makes changes that contradict the culture of TCOT, I will be down the road. Hopefully, the deal will not go through. Money be dammed, it's about a lot more than that.
 
OK, I've been with Davey for 32 years and although I no longer climb, I must say its been a great run. We do have our rules and we recognize that we are bit stodgy and old school but we are working on trying to change that. The new generation of Davey managers are very proactive and we have made a ton of changes and improvements in the past five years. We are currently conducting Advanced Arborist training programs across the country in order to certify our best climbers in the new equipment and techniques.

What's really nice about Davey is the benefits packages, the stock ownership and if you are working with a good manager, the comraderie in the local office and the opportunities for advancement and promotion. Its like a small company with a big company's backing.

As far as the TCOT and Davey deal goes, there have been talks but there is no deal.

Davey has bought a ton of companies in the past five years and most of the acquired employees are really happy with the change mostly because when we come in we focus on melding the best practices of the new company and Davey. We have learned alot from the companies we have purchased and many of the new techniques have been implemented across the organization.
 
So what's gonna happen with the corporate retreat in Colorado?

Is it gonna be sold and distributed in the ESOP?

Absolutely shameful what happened to that company (poor management... on different levels) the past 10 years.

Hopefully Davey will be able to rebuild it to what it once was.
 
Both TCOT and Davey are great companies and if they merge I would be worried if I was a competitor. Both companies have their great strengths and compliment each other well. If there is an understanding amoungst the employees that working together they will be an unstoppable force then if it happens, it will work and everyone will benefit, especially the current employee/stock holders.
 
Theres nothing like being Screwed by the company that you stand by with extreme loyalty. I currently work at TCOT and have been there for several years now. All I hear is this is "this is an employee owned company" "treat the company like an owner" " were all a family" Well if any of this was true why not as "owners" dont we have a say in the future of "our" company? We are bascily being sold out to the highest bidder. The papers will be signed by the middle to the end of the month. Davey has already come too look at our equipment and Scott Jamison said the deal will be done by the the end of the month. I dont know what Davey thinks there buying if its the people there wont be many left. Hell even the CFO has left already. I have friends in other companies all over and they've been conducting interviews daily with TCOT employees. Dont get me wrong I love working at the care of trees but once the deal is signed Im going to take my ESOP money and be gone, Davey is not the great company everyone thinks it is. I wish everyone would stop sugar coating this deal and blowing smoke where it doesnt belong..
 
Since the 90s loyalty has diminished in value. At the end of the day it is about maximum value for shareholders. Executives leaving is very typical in a merger. The owners want to integrate the companies and manage it in the same manner. From what was said above the executive management should be changed.

Get together with an attorney and tell him your concerns. If you and he both feel the deal is not equitalble he may get some sort of injunction to prevent the sale until it is approved by all parties.

Just an idea.....

I know if I still held shares I would have already contacted an attorney.
 
If a company only makes a 1% profit every year like TCOT how does anyone who has stock get paid out? The CFO ad CEO have the responsibilty to make the company profitable. They created such a overhead that there was not enough cash left to buy Hendricksen out. What is he supposed to do, give the company away? Davey is employee owned so he never has gone back on his promise, that is to sell the company to the employees. Everyone will get new shares of Davey which are worth more! What's more important is that Davey makes enough profit to pay the shares out when you are ready to leave. Davey will repay the "loan" by getting rid of the extream amount of overhead that Jamieson created. His last deal was to buy a Lexus SUV for himself right after he cheapened the car program for the sales(to save money) and managers and the car is black! What great leadership,and brand loyality. Oh and by the way I work for TCOT 20 some years and remember when we made a good profit each year....and looking forward to a new CFO and CEO.
 
Thanks for the feed back and I agree. Not only did Scott get his Black Lexus His vice president also got himself a Black BMW suv with our money while everyone else is stuck driving those crappy Toyotas and the pick ups are a joke on wheels. Only the people on top make out when its all said and done. There is way too much over head and people in management positions that can barely wake up in the morning. Theres guys that havent gotten a raise in 2 years and these guys are driving luxury cars and blowing all the money traveling the world. What a joke. Thants why we dont make any money...... Pay me my shares when I leave in 2 weeks thats if theres any money left...

profit margin is more important than the health and happiness of people and trees. Yay america!
 
I don't think so (or recall... it's been about 9 years) but they should still have a say in the final decision.

Any judge can hear an arguemnt and suspend a deal like this until all of the details are vetted out.
 
Unfortunately, their say is limited by the class of the share. Even with a say it the matter, the deal is usually structured to be valid if a certain number of shares are tendered. Once that point is reached then the rest of the shares are inconsequential.
 
Did you know that the Executive officers of TCOT put together a plan, had finacial backing, and made an offer to John that was not much less than Davey so that we could stay TCOT? Davey a few years back was almost bankrupt! They show a video about how great the "mergers" are for employees of the companies they bought and it ends with an employee TCOT fired twice for drug use. The Davey CEO preaches integrity but then says he has no problem plagerizing or copying people. The three Hendricksen's together own the majority shares so the vote does not matter. TCOT is all about acronyms, don't you know that Due Diligence "DD" actually stands for DONE DEAL. You talk about the Lexus vehicles, what about the plane and collection of BMW motorcycles. Why not just wait it out and see what happens? Have you ever run a million plus doller company let alone owned one? This is Corporate America people. This happens everyday. We the little people have no say. Just be happy that the industry is in need of people and that as field personnel we will still have jobs in the industry. Davey is not my choice of companies to work for that is why I chose TCOT but we still have work to do and standards to uphold. So try to wait it out and hold the company together even if it is crumbling around us. Davey would be fools to disasemble TCOT in Chicago. Believe me it really sucks that the pride that this company preaches and "Our business is PEOPLE" doesn't seem like it holds any value now but we have to stick together.
