Hate to say it but the best resource would be your attorney...tell him what you need in simple people language and the lawyer will put it into legaleze.

I brought a boiler plate contract to my ATTY spent 20 minutes with him and he took the boilerplate and made it work for us for $150 or so.

If you think on larger terms, the fee for the ATTY is peanuts compared to the price of not being prepared.

Had I been smarter, I'd have been workgin with an atty and an accountant from the get go. Big bucks to pay upfront but I'd be much further ahead than I am now.
 
I want to come up with standard language to preprint on the back of the page for all proposals. I'd get it printed in the light gray that you see all the time, with details about what the terms we use to describe our work means, for the sake of the customer and the crew.
